Earthman Herbals Company Agent Distribution, Loyalty & Referral Agreement

This online agreement is a review copy of the Earthman Herbals independent agent/distribution and referral framework. The final executed agreement is the version accepted and signed by the parties and any applicable commercial schedule.
1. Independent Status
The participant operates independently and is responsible for its own business operations, registrations, filings, taxes and other legal obligations, subject to applicable law. Earthman will maintain records of applicable rewards and payments and will make any reports or deductions required by law.
2. Product-Sales-Based Referral & Loyalty Program
Qualifying rewards are tied to eligible product transactions and program rules, not simply to recruitment. Any multi-level allocation is subject to the written compensation schedule and applicable law.
3. Commercial Terms
Approved Earthman proprietary products may be offered under the applicable distributor purchase discount and commissionable pool established in the current commercial schedule. A CAD $500 activation/package and any CAD $25,000 city-zone distributor commercial capital/inventory program apply only where expressly accepted in the applicable written agreement and schedule. Neither amount is a payment for the right to recruit another participant or a guarantee of compensation or return.
4. Territory
Territory rights, if any, are defined in writing. No automatic exclusivity is created without an express written provision.
5. Compliance
No diagnosis, prescribing, unverified disease claims, misleading income claims, unauthorized sub-distribution or misuse of third-party intellectual property is permitted. Participants must follow applicable product, advertising, consumer-protection and tax requirements.
