Tokenized Participation & Asset-Backing Framework

Earthman intends to evaluate a tokenized digital-value framework for qualifying projects and investment portfolios. The working concept is to associate digital units with identified projects and, where legally supportable, designated business assets such as inventory/stock, equipment, receivables, intellectual property or property interests.

Working terminology: Use “asset-backed tokenized participation” in planning materials. Do not use “secured token” as a legal claim unless a documented, enforceable security interest or equivalent collateral arrangement has actually been established and perfected.

Healthy Tea Service — Commercial Notes

Starting network: 100 office/service establishments. Base expansion target: 25 additional establishments per month. Aggressive marketing upside: up to 50 additional establishments per month, subject to capacity and actual demand.

Working sign-up structure: $1,000 target office/home-office registration package. Current planning notes specify $750 for setup/installation and a refundable equipment deposit of $300. Those two components total $1,050, so the final invoice must reconcile the $50 difference before publication as a fixed price.

Delivery charges are additional. Installation/equipment service charges may vary by location and configuration. Machine/equipment deposits are refundable after pickup/return where equipment is returned without damage, subject to the final written terms.

Optional service configuration may include hot-and-cold water dispensing, brewing equipment, tea tray/countertop display, Healthy Tea assortment, starter supplies and recurring replenishment.

Agent / Sales Network Notes

Location Development

Agents may promote and register offices, homes, cafés, restaurants, hotels, corner/convenience stores, cafeterias, kiosks, mall/shopping-centre displays, mobile cafés, concession stands, grocery/partner stores and institutional locations through authorized links, QR codes, social media, direct sales and the Earthman app.

Residual Reorder Reward

Working commercial assumption: a 5% residual may be credited to the originating/servicing agent on qualifying customer reorders when the customer is properly tracked through the network. The previously discussed 5–10% range remains a possible approved range, but 5% is the standard planning assumption.

Service Responsibility

Agents/location stores may assist with installation and delivery where authorized. Delivery is charged separately. Location-specific installation and equipment charges are quoted according to configuration.

Kiosk / Café / Concession

Agent packages can support tabletop displays, compact kiosks, mall/shopping-centre locations, hotel and restaurant beverage stations, convenience-store displays and mobile café/concession operations.

Compliance note: Sales rewards should be tied to qualifying product/service transactions and written commercial terms. Recruitment alone should not generate compensation. Tokenized investment products must be separated from ordinary sales commissions unless counsel approves the structure.

Market Observation Notes

Toronto remains a useful launch-market reference for the office/home beverage service. Statistics Canada’s 2021 Census profile reports 1,308,110 employed people in the Toronto census division, including 649,185 with a usual place of work and 510,240 working at home. This supports two complementary customer-acquisition channels: workplace service and home/home-office delivery. citeturn0search0turn0search13

Observation: these statistics describe the size and work-location characteristics of the audience; they do not establish customer demand, conversion rates or revenue. Those must be validated through Earthman pilot sales, customer surveys and actual reorder data.

Planning rule: distinguish clearly between source evidence, Earthman management assumptions and future targets in investor materials.

Business-Plan Control Notes

  1. Keep the investor model separate from the distributor-agent per-location revenue model.
  2. Use the 100-establishment starting base and 25-new-establishments-per-month base case; show up to 50/month as the aggressive upside.
  3. Maintain the Healthy Tea, Natural Food Store, café/restaurant, agriculture, distribution and media divisions as distinct operating modules with cross-selling where appropriate.
  4. Keep tokenized investment language conditional until legal structure, asset backing, rights, custody, transfer and redemption mechanics are formally documented.
  5. Maintain an asset-coverage register for every proposed tokenized portfolio.
  6. Update market observations as actual customer acquisition, reorder and location data becomes available.
